Affiliate Program

Affiliate Program Terms and Conditions

These Terms and Conditions set out the rules of operation and the conditions of participation in the Affiliate Program organized within the Service www.ecommercelegal.io (hereinafter the "Service").

§1. Definitions

Terms written with a capital letter have the meanings ascribed to them in the Online Service Terms, whereas the terms defined below have the following meanings:

  • Discount Code — a unique string of characters or digits, made available to the Partner via electronic message, which the Partner may pass on to its Customers. Customers may use the Discount Code received from the Partner in order to obtain a discount on their first Order placed within the Service. The Customer should enter the Discount Code at the stage of placing an Order for a selected product within the Online Service. The Customer's use of the Discount Code received from the Partner, on the terms described in this definition, constitutes the basis for assigning the given Customer to the Partner from whom that Customer received the Discount Code;
  • Customer — a User within the meaning of the Service Terms, who is interested in placing an Order within the Service using a Discount Code;
  • Partner — an Entrepreneur, excluding an Entrepreneur with consumer rights;
  • Affiliate Program / Program — the cooperation between the Service Provider and Partners, consisting in the Partners' promotion of the Service among Customers, conducted on the terms set out in these Terms and Conditions;
  • Terms and Conditions — this document;
  • Service Terms — the document located at the following link: https://ecommercelegal.io/pl/terms/;
  • Online Service / Service — the website belonging to the Service Provider, located at the domain ecommercelegal.io;
  • ecommerce.legal — ecommerce.legal, a limited liability company with its registered office in Poznań (60-529) at ul. Dąbrowskiego 77A, entered into the register of entrepreneurs of the National Court Register by the District Court Poznań – Nowe Miasto i Wilda in Poznań, 8th Commercial Division of the KRS under number: 0001071438, holding NIP: 7812061024, REGON: 527034850, share capital: 10.000,00 zł;
  • Commission — the remuneration due to the Partner, paid in Polish zlotys, payable for a purchase made within the Service by the Customer using a Discount Code that was passed on to the Customer by the Partner. The Commission is calculated on a monthly settlement basis, by the 10th day of the following month. The Commission is calculated only on payments made in the Polish zloty currency;
  • Participation Agreement / Agreement — the agreement on participation in the Affiliate Program concluded between the Service Provider and the Partner on the terms set out in these Terms and Conditions.

§2. Preliminary provisions

  1. The Affiliate Program is conducted within the territory of Poland.
  2. Joining the Affiliate Program is voluntary.
  3. Contact with the Service Provider takes place via:
    • electronic mail at the address: biuro@ecommercelegal.pl;
    • telephone: +48 530 091 988.
  4. In matters not regulated in these Terms and Conditions, the provisions of the Online Service Terms shall apply, and in the event of a conflict between the provisions of these Terms and Conditions and the Online Service Terms, these Terms and Conditions shall apply.
  5. These Terms and Conditions are continuously available within the Online Service, in a manner enabling their acquisition, reproduction and recording of their content by printing or saving on a medium at any time.

§3. Joining and participation in the affiliate program

  1. The purpose of the Affiliate Program is to promote the Online Service, including in particular encouraging the placing of Orders via the Service, which are dedicated to Customers.
  2. Participation in the Affiliate Program is free of charge. A person interested in taking part in the Affiliate Program may take part in it at any time, provided that the requirements described in this paragraph are met.
  3. Firstly, in order to take part in the Program, it is necessary to apply to the Program (hereinafter the "Application") via the application form located on the Service website (hereinafter the "Application Form" / "Form") or via an electronic message directed to the address biuro@ecommercelegal.pl.
  4. Completing the Application Form requires the Partner's ICT system to meet the technical requirements set out in the Service Terms.
  5. By completing the Application Form or sending the Application via an electronic message, the Partner represents that the data provided by it are true and do not infringe the rights of third parties.
  6. A User applying to become a Partner is obliged to provide correct and true data indicated as mandatory, and in particular the electronic mail address.
  7. Within 14 Days, ecommerce.legal accepts or rejects the Application, sending to the Partner candidate an electronic message with information about the rejection of the Application, and in the case of acceptance — additionally with the assigned Discount Code.
  8. An Application may be rejected on the basis of ecommerce.legal's internal assessment criteria, affecting ecommerce.legal's individual decision, which need not be justified.
  9. A User joins the Program at the moment ecommerce.legal sends an electronic message with information about the acceptance of the Application; at that moment the Participation Agreement in the Affiliate Program is concluded.

§4. Agreement on participation in the affiliate program

  1. The Agreement on participation in the Affiliate Program is concluded at the moment the Partner receives an electronic message with information about the acceptance of the Application.
  2. As part of participation in the Affiliate Program, each Partner is obliged to promote the Service (hereinafter "Promoting", "Promotion"), including in particular the services offered by ecommerce.legal, available for purchase on the Service website. Subject to subsection 3 below, the Promotion may take place in any manner and in any place, provided that it does not infringe the law, including in particular does not constitute the prohibited activities described in subsections 7–10 below.
  3. As part of the Promotion, the Partner may not:
    • Promote the Service via internet search engine providers, including in particular through Google LLC using the Google Adwords tool, without the prior written consent of ecommerce.legal;
    • send Customers messages by means of electronic communication, in particular e-mail and SMS messages, which may constitute unsolicited commercial information within the meaning of generally applicable law, if the Partner has not met all legal requirements to send such information, including in particular has not obtained consent to send it;
    • register any trademarks (e.g. logo, name, business name), i.e. any designation making it difficult to distinguish the goods or services of ecommerce.legal from the goods or services of another entrepreneur, nor use internet domains, email addresses or slogans similar to those to which ecommerce.legal is entitled in the course of its business activity.
  4. Where the Partner wishes to use graphics, texts or other types of designations relating to the Service for the Promotion, it is obliged to use only those materials that have been made available to it for this purpose by ecommerce.legal or approved by ecommerce.legal, and to use them in a manner consistent with ecommerce.legal's guidelines.
  5. The Partner is entitled to receive a Commission for the Promotion if an Order is purchased by a Customer on the Partner's referral, i.e.:
    • the Customer receives from the Partner a Discount Code assigned to that Partner;
    • the Customer uses the Discount Code received from the Partner when placing an Order via the Service.
  6. A Customer wishing to use a Discount Code assigned to the Partner, at the stage of the purchasing path leading to the placing of an Order, should enter the Discount Code received from the Partner in the designated place. Once the requirements described in subsection 5 and this subsection 6 are met, the placing of the Order is deemed to have taken place on the Partner's referral.
  7. The Partner is obliged to perform the Agreement in accordance with the applicable legal order, good practice, these Terms and Conditions and the Online Service Terms, as well as to hold all rights to the content it uses in performing the Agreement.
  8. It is not permitted to undertake actions that are misleading, that constitute an act of unfair competition or an unfair market practice, and in particular:
    • promoting a pyramid sales scheme;
    • misleading the User in a manner that may influence their decision regarding ecommerce.legal's Services;
    • infringing copyright or other intellectual property rights, or encouraging the violation of copyright, including by making available information or materials that may serve to infringe copyright or other intellectual property rights;
    • violating human dignity;
    • discriminating on the grounds of race, sex, sexual orientation or nationality;
    • offending religious or political beliefs;
    • encouraging the violation or breaking of the law;
    • inciting hatred;
    • threatening the physical, mental or moral development of minors;
    • conducive to behavior that threatens health, safety or environmental protection.
  9. It is prohibited to provide unlawful content within the Affiliate Program.
  10. It is not permitted to use devices, programs or any systems that cause the unjustified accrual of Commission.
  11. All forms of making access to the Affiliate Program, the Service or the Discount Code conditional are prohibited, and it is also prohibited to offer any material or non-material benefit in exchange for placing an Order within the Service.

§5. Termination of the agreement

  1. The Agreement on participation in the Affiliate Program is concluded for an indefinite period, and may be terminated by the Partner subject to a 30-day notice period by a declaration directed to the electronic mail address of the Service Provider provided in §2 "Preliminary provisions".
  2. After submitting notice of termination, the Partner has 30 days to issue a VAT invoice for the Commission due to it but not yet paid.
  3. ecommerce.legal may suspend or terminate the Affiliate Program at any time. The Partner will be informed of this at its electronic mail address, subject to subsection 5 below, at least 14 (fourteen) days before the suspension or termination of the Program. In this case, Partners should issue VAT invoices for the Commissions due to them but not yet paid within 14 Days.
  4. ecommerce.legal may suspend or terminate the Partner's participation in the Affiliate Program and terminate the Agreement for important reasons with immediate effect, in the event of:
    • arising of a suspicion as to the Partner's violation of these Terms and Conditions, the Service Terms, other provisions binding on Partners, or generally applicable law or principles of good practice;
    • where the actions or omissions of the Partner negatively affect the activity of ecommerce.legal, including harm its good name or otherwise damage ecommerce.legal.
  5. In cases of termination of the Agreement for the reasons set out in this paragraph, ecommerce.legal shall immediately deactivate the Discount Code.
  6. In the event of termination of the Agreement for the reasons set out in subsection 4 above, the termination of participation in the Affiliate Program results in the forfeiture of the Commission granted to the Partner but not yet paid.

§6. Commission

  1. The Partner is entitled to a Commission upon meeting the following conditions:
    • the Customer placed an Order using a Discount Code received from the given Partner;
    • the Customer has not previously placed an Order using a Discount Code received from another Partner;
    • the Customer has not previously used the Services provided by the Service Provider, offered within the Service.
  2. The Partner is entitled to a commission of 10% (in words: ten percent) of the net value of each Order paid in Polish zlotys by a Customer acquired through the Partner, in accordance with the rules set out in these Terms and Conditions.
  3. The Service Provider may change the Commission rate. A change to the Commission rate is tantamount to a change to the Terms and Conditions, and therefore in such a case the provisions contained in the final provisions of this document apply accordingly, i.e. the provisions concerning the amendment of the Terms and Conditions.
  4. The Commission is due only on orders effectively paid by the Customer, which have not been cancelled, returned, or subject to a refund.
  5. ecommerce.legal has the right to withhold payment of the Commission or refuse its payment if there is a reasonable suspicion of a violation of the Terms and Conditions, fraudulent activities or the artificial generation of orders.
  6. The Partner is not entitled to obtain a Commission on Orders placed by itself, entities affiliated with it, or persons acting on its behalf.
  7. The Partner is entitled to receive payment of the Commission due from ecommerce.legal. Payment of the Commission shall be made no more frequently than once per calendar month, on the terms set out in these Terms and Conditions.
  8. In order to receive payment, the Partner should issue ecommerce.legal a VAT invoice for the amount of Commission due to it, with a payment term of no less than 14 days. The Partner should send the VAT invoice to the address biuro@ecommercelegal.pl.
  9. The Service Provider will pay only those invoices that have been issued for the amounts of Commission due to the Partner. Information on the Commissions due is provided to the Partner via electronic message by the 10th day of the month following the settlement period to which they relate.
  10. The Commission due to the Partner is paid within a term of no less than 14 days from ecommerce.legal's receipt of a VAT invoice correctly issued by the Partner. The day of payment of the Commission is deemed to be the day of debiting ecommerce.legal's account.

§7. Complaints

  1. Complaints regarding the Affiliate Program may be submitted in writing to the address of ecommerce.legal or electronically to the electronic mail address: biuro@ecommercelegal.pl.
  2. A complaint notification should contain the identification data of the person submitting it and a description of the event that is the cause of the complaint.
  3. The complaint will be examined within 14 days from the date of its receipt.
  4. In the event of deficiencies in the complaint, ecommerce.legal will call upon the Partner to supplement it to the necessary extent without delay, but no later than within 7 days from the date the User receives the request.

§8. Protection of personal data

Personal data provided as part of the Affiliate Program is processed by ecommerce.legal in accordance with applicable law and in accordance with the "Privacy Policy", located on the Service website.

§9. Final provisions

  1. The Partner undertakes to immediately inform the Service Provider of any changes to the data provided in connection with participation in the Affiliate Program, in particular contact data, identification data and bank account number.
  2. The Partner bears responsibility for the consequences resulting from a failure to update the data, including for the inability to pay or a delay in payment of the Commission.
  3. The sole source of ecommerce.legal's obligations is these Terms and Conditions and mandatorily applicable law, while in the scope not regulated in these Terms and Conditions also the Service Terms.
  4. The Terms are available in the Polish language.
  5. Reproducing or publishing these Terms and Conditions or parts thereof without the written consent of ecommerce.legal is prohibited.
  6. Unless mandatorily applicable law provides otherwise, the law applicable for resolving any disputes arising under these Terms and Conditions is Polish law.
  7. The resolution of any disputes arising between ecommerce.legal and the Partner is submitted to the court having jurisdiction over the registered office of ecommerce.legal.
  8. In matters not regulated in these Terms and Conditions, the mandatorily applicable provisions of Polish law shall apply.
  9. The content of these Terms and Conditions may be subject to change. Each Partner will be informed of any changes by information sent to the Partner's electronic mail address, containing a summary of the changes and the date of their entry into force.
  10. Amendments to the Terms and Conditions enter into force after the lapse of 14 days from informing Partners of the changes being introduced, unless the Partner terminates the Agreement before that date.
