Website Terms of Service – www.ecommercelegal.io
These Terms of Service set out the operating rules of the www.ecommercelegal.io Website. In particular, you will find here information on the rules for placing orders, the manner in which Services are provided, the right to withdraw from the contract, and liability for non-conformity of the Service or Digital Content with the contract.
§1. Definitions
- Update — a modification of the Digital Content, including its security features, which is necessary to maintain the conformity of the Digital Content with the Contract.
- Business Days — days from Monday to Friday, excluding statutory public holidays.
- ecommerce.legal — ecommerce.legal spółka z ograniczoną odpowiedzialnością (limited liability company) with its registered office in Poznań (60-529) at ul. Dąbrowskiego 77A, entered in the register of entrepreneurs of the National Court Register (Krajowy Rejestr Sądowy) by the District Court Poznań – Nowe Miasto i Wilda in Poznań, 8th Commercial Division of the National Court Register, under number 0001071438, NIP 7812061024, REGON 527034850, share capital: PLN 10,000.00, telephone number +48 530 091 988, e‑mail: biuro@ecommercelegal.pl.
- Video — Digital Content to which the User is granted access within the Customer Panel. Videos may be made available to Users as part of a Webinar.
- Document Generator (Generator) — a functionality made available within the Website, enabling the automatic creation of personalised legal documents for an online store (in particular terms and conditions and privacy policies) based on the data and preferences entered by the User.
- Civil Code — the Polish Civil Code (Kodeks cywilny) of 23 April 1964 (consolidated text: Journal of Laws 2025, item 1071, as amended).
- Consultation — a service provided by ecommerce.legal to the User, consisting of the provision of individual advice on the legal aspects of conducting e‑commerce and online business. The Consultation may cover in particular advice regarding compliance with personal data protection and consumer rights regulations. The service may be provided via an external online communicator (audio or video) indicated on the Website or in another form agreed between the Parties.
- Consumer — a User who is a consumer within the meaning of art. 22¹ of the Civil Code.
- Customer Panel — the part of the Website allocated to a given User, through which the User may perform certain actions on the Website.
- Entrepreneur — a User who is an entrepreneur within the meaning of art. 43¹ of the Civil Code.
- Entrepreneur with Consumer Rights — a natural person conducting sole-proprietor business activity who enters into a contract directly related to their business activity, where it follows from the content of such contract that it does not have a professional character for that person.
- Terms — this document.
- Website — the website located at www.ecommercelegal.io.
- Digital Content — digital content within the meaning of the Consumer Rights Act.
- Contract — collectively: the contract for the provision of the subscription service, the contract for the supply of digital content, the contract for the provision of the Consultation Service, and the contract for the provision of the Webinar service.
- Subscription Service — a service consisting of granting the User a temporary, paid right to use documents generated through the Generator for the purposes of the User's online store. The Subscription entitles the User to use the documents for a period of 12 months from the date of their purchase, or for another period indicated in the description of the Subscription on the Website. ecommerce.legal provides various types of Subscriptions, the scope and detailed description of which are available on the Website.
- Services — paid or free services provided electronically via the Website by ecommerce.legal, including digital services, consisting in particular of the provision of Digital Content, Videos, Webinars, performance of individual expert activities such as the audit of an online store interface, individual adaptation of legal documents to the specifics of the User's business, or advice on compliance with legal regulations, as well as other functionalities available on the Website.
- Services Provided Electronically — services provided by ecommerce.legal to Users by electronic means within the meaning of the Act on the Provision of Services by Electronic Means.
- Copyright Act — the Polish Act on Copyright and Related Rights (Ustawa o prawie autorskim i prawach pokrewnych) of 4 February 1994 (consolidated text: Journal of Laws 2025, item 24, as amended).
- Act on the Provision of Services by Electronic Means — the Polish Act on the Provision of Services by Electronic Means (Ustawa o świadczeniu usług drogą elektroniczną) of 18 July 2002 (Journal of Laws No. 144, item 1204, as amended).
- User — a natural person, a legal person or an organisational unit without legal personality to which specific provisions grant legal capacity, who places an order through the Website and makes purchases through the Website.
- Webinar — an online training held live at the date specified in the Webinar description, thematically related to the activity of ecommerce.legal. The Webinar is available to Users who have entered into a Contract with ecommerce.legal for the provision of the Webinar service. The course of the Webinar may be recorded.
- Order — a declaration of will of the User aimed directly at concluding a Contract for the supply of Digital Content, specifying in particular the type and quantity of Digital Content.
- Change — a modification of the Digital Content which is not necessary to maintain its conformity with the Contract and which does not involve any costs on the part of the Consumer.
§2. Preliminary provisions
- These Terms set out the rules for using the Website and the rules and procedure for concluding Contracts through the Website.
- The Terms are continuously available on the Website in a manner enabling them to be downloaded, reproduced and recorded by printing or saving to a data carrier at any time.
- The use of the Website's functionalities, including the conclusion of Contracts with ecommerce.legal via the Website, requires access to a computer or mobile device with Internet access, a standard operating system, access to a web browser supporting JavaScript and the necessary cookies, as well as an active e-mail address.
- Information about Digital Content, Consultations and Webinars provided on the Website, in particular their descriptions, technical and functional parameters and prices, constitutes an invitation to conclude a contract within the meaning of art. 71 of the Civil Code.
- In the event of announcing a price reduction for goods, ecommerce.legal informs about the lowest price over the 30-day period preceding the price reduction, in accordance with art. 4 sec. 2 of the Act of 9 May 2014 on informing about prices of goods and services.
- The net price of Digital Content or Services is indicated on the Website.
- The specification of each Digital Content or Service and its characteristic features are set out in the descriptions of the Digital Content or Services on the Website.
- The rights to the Website, including economic copyright, intellectual property rights to its name, website, domain, and logos and forms, belong to ecommerce.legal, and their use is permitted only in accordance with these Terms.
- ecommerce.legal informs that the use of services provided by electronic means may entail risks for the Internet user, consisting in particular of the possibility of introducing malicious software into the User's ICT system and of unauthorised persons obtaining or modifying their data. In order to limit the occurrence of the above-mentioned risks, the User should apply appropriate technical measures that may minimise their occurrence, in particular antivirus software and a firewall.
- ecommerce.legal may also inform on the Website about the possibility of concluding other service contracts. Such contracts are concluded on the basis of separate, individual arrangements between ecommerce.legal and the User.
- We have established a point of contact for the purposes of fulfilling our obligations under the Digital Services Act (DSA), through which the relevant authorities and Users may communicate with us: biuro@ecommercelegal.pl. Using the indicated e-mail address, it is possible in particular to report content which the User considers to be illegal. Communication at the point of contact takes place in Polish and English.
§3. Placing Orders on the Website
- The User may enter into a Contract on the Website after logging in to the Customer Panel.
- In order to place an Order, the User shall:
- select Digital Content, a Webinar, a Consultation or another Service from the options available on the Website;
- complete the fields of the Order form marked as mandatory;
- grant the required consents, in particular accept the Terms and declare that they have read the Website's privacy policy.
- The Order is placed upon clicking the button that concludes the order.
- Until the Order-concluding button is clicked, the User has the option to modify the Order or the data provided.
- After placing an Order, ecommerce.legal shall promptly confirm its receipt and, at the same time, accept the Order for processing by sending the User an e-mail message to the e-mail address provided during registration in the Customer Panel. Upon receipt of the above e-mail message by the User, a Contract is concluded between the User and ecommerce.legal.
- The recording, securing and making available of the content of the concluded Contract is carried out by making these Terms available on the Website and by sending them in an e-mail message. The content of the Contract is additionally recorded and secured in the Website's IT system.
- The Contract is concluded in the Polish language, with content consistent with the Terms.
- ecommerce.legal reserves the right to suspend the processing of an order in the event of justified doubts as to the truthfulness and accuracy of the data entered in the order form. In such a situation, the Website shall promptly contact the User.
- ecommerce.legal is entitled to organise occasional competitions and promotional campaigns, the terms of which shall each time be published on the Website. Promotions indicated on the Website cannot be combined, unless the regulations of a given promotion provide otherwise.
§4. Service delivery and payments
- Access to Digital Content or a Video is granted to the User by making the Digital Content available for download in the Customer Panel, after ecommerce.legal receives information from the payment intermediary's system confirming payment, unless the User and ecommerce.legal have agreed on another date.
- The activation period for access to Digital Content or a Video is up to 3 Business Days, unless a different period is specified in the description of the given Service or at the time of placing the Order. Where the ordered Digital Content or Videos have different activation times, the period indicated for the Digital Content or Video with the longest activation time shall apply. The above periods are counted from the date on which the transfer is credited to the ecommerce.legal account.
- The Website accepts the forms of payment available during the order process, in particular payment by payment card.
- Under the Contract, ecommerce.legal provides the User with the option of electronic payment via the Stripe payment gateway, operated by Stripe Technology Europe Limited with its registered office in Ireland. The Stripe terms of service are available at: https://stripe.com/en-pl/legal/ssa.
- Where the User chooses electronic payment, the User is obliged to make the payment within 3 Business Days from the date of conclusion of the Contract. In the event of non-payment by the User within the period referred to in the preceding sentence, ecommerce.legal may, after a prior unsuccessful call for payment with a set deadline, withdraw from the Contract pursuant to art. 491 of the Civil Code.
- The description of each Service available on the Website contains in particular information on:
- the nature of the Service, including an indication of whether the Service is provided on a one-off basis or for a specified period, and in the case of subscription Services — the rules arising from their subscription nature;
- the period of access to the Service or the rules for its renewal;
- the functional scope of the Service, including the available Digital Content, Webinars, Videos or other functionalities;
- restrictions on the use of the Service — where applicable;
- information on whether the Service includes participation in Webinars or other live meeting formats, and if so — on what terms.
- The scope of a given Service covers only those elements, Digital Content, functionalities or deliverables which are clearly identified in the description of that Service on the Website as available at the moment of conclusion of the contract.
- In the case of subscription-based services, the rules of access and settlement are set out in § 5 of the Terms.
- The User consents to the delivery of invoices in electronic form.
- The Contract is concluded for a fixed term indicated in the Order, unless otherwise stated in its content or resulting from the nature of the Service.
- ecommerce.legal has the appropriate knowledge, experience and human and technical resources necessary to perform the Services duly, in accordance with the standard resulting from the nature of its business activity.
- Only one person may use a given purchased Service, unless the description of that Service expressly provides otherwise.
- In the event of a material breach of the Terms, ecommerce.legal may — after a prior call to the User to cease the breach and the ineffective expiry of the deadline set — permanently block access to the Customer Panel or Service.
§5. Subscription services
- Information on the billing period, the amount of the subscription fee, the rules for its collection and the scope of the Subscription Service are each time indicated in the description of the Subscription Service before the contract is concluded.
- The User may cancel the Subscription Service at any time, in the manner indicated in the description of the Service or in the Customer Panel, with effect at the end of the current billing period.
- Cancellation of the Subscription Service does not result in a refund of the fee due for the billing period that has commenced, unless otherwise required by mandatory provisions of law.
- Upon the end of the billing period for which the Subscription Service has been paid, access to the Subscription Service is terminated.
- The scope of the Subscription Service covers the elements, Digital Content and functionalities indicated in the description of the Subscription Service on the Website at the time of conclusion of the Contract, subject to sec. 9 below.
- The Subscription Service is provided in consecutive billing periods. The subscription fee is charged cyclically on an annual basis, in accordance with the information provided in the description of the Subscription Service.
- Failure to cancel the Subscription Service before the end of the current billing period results in automatic extension of the Contract for another billing period and the collection of the next subscription fee.
- In the case of Orders where the subject matter is a Subscription, the Order is paid automatically by ecommerce.legal collecting payment for the Subscription without the active participation of the User, i.e. via the credit card indicated by the User at the time of placing the Order (hereinafter "Subscription Payment").
- In the case of a User who is a Consumer, ecommerce.legal obtains the Consumer's consent to the automatic extension of access within the selected Subscription Service and to the cyclical charging of their credit card.
- As part of the Subscription Payment, the fee is collected once in each billing period, in accordance with the information presented in the description of the Subscription Service.
- The billing period, within the meaning of these Terms, is each time indicated on the Website in the description of the Subscription Service.
- The billing period is counted from the day of conclusion of the Contract.
- The fee for each billing period is collected on the first day of each billing period.
- The first day of the billing period is the day corresponding to the day of conclusion of the Contract, and if there is no such day in a given billing period — the last day of the month falling within the given billing period.
- In the event of an unsuccessful attempt to collect the fee for the next billing period, ecommerce.legal shall make another attempt to automatically collect the payment within one week from the start of the next billing period. If, after the attempt referred to in the preceding sentence, the fee is not collected, ecommerce.legal shall call on the User to remedy the breach by selecting another form of payment in the form of a bank transfer to ecommerce.legal's bank account, insofar as this is possible. In such a case, ecommerce.legal may suspend provision of the Service until the User's payment for the next billing period has been received.
§6. Consultations
- Through the Website, the User may book a Consultation from among the various types of Consultations presented on the Website.
- A User who wishes to use the Consultation Service is obliged to use the contact form for consultations available on the Website or to contact ecommerce.legal by e-mail at: biuro@ecommercelegal.pl or by telephone at +48 530 091 988.
- In the form referred to in sec. 2 above, the User indicates the preferred date of the Consultation, however the final date is agreed individually by ecommerce.legal with the User via e-mail or during a telephone conversation.
- Consultations take place on Business Days, during the hours indicated on the Website.
- In the case of Consultations held online, the User shall meet additional technical conditions, consisting in particular of having access to a webcam and a microphone. ecommerce.legal may indicate additional technical requirements on the Website in the description of the Consultation.
- After payment of the Order, the Consultation may be conducted in writing via e-mail, in real time via an online communicator enabling an audio or video conversation agreed with the User, or by telephone, at the discretion of ecommerce.legal.
- Where the Consultation is held via the online communicator referred to in sec. 6 above, ecommerce.legal sends to the User's e-mail address indicated in the form instructions for participation in the meeting, including information on how to join the online meeting at which the Consultation is to take place.
- The User may, no later than 2 days before the scheduled date of the Consultation, change the date of the Consultation by contacting ecommerce.legal by e-mail. The User may change the date of the Consultation once. Where the Consultation is cancelled within the period indicated in the preceding sentence, ecommerce.legal shall refund the paid cost of the Consultation to the User's bank account within 7 Business Days of the day the cancellation was notified.
- Where the User cancels the Consultation within a shorter period than that indicated in sec. 8 above, before the scheduled date of the Consultation, ecommerce.legal shall refund the amount paid for the Consultation, reduced by 30% of the value of the purchased Consultation, within 7 Business Days from the date of cancellation of the Consultation. The refund is made to the User's bank account.
- Consultations have a fixed maximum period for performance of 21 Business Days. The dates of Consultations must be agreed taking this period into account.
- ecommerce.legal may cancel a Consultation for reasons beyond its control, in particular due to force majeure, illness or other indisposition on the part of ecommerce.legal or in the event of other unforeseen situations. In such a case, ecommerce.legal shall promptly inform the User of the inability to conduct the Consultation and, within a maximum of 2 Business Days, in consultation with the User, set a new date for the Consultation or enable the User to submit a declaration of withdrawal from the Contract for the provision of the consultation service, at the User's choice.
- In the case of a Consultation held via ICT or communication systems, audio or video recording (or via both forms) of the course of the Consultation is possible only with the prior consent of ecommerce.legal. If ecommerce.legal consents to audio or video recording (or both forms of recording), the recording may not be disseminated in any way. The User may use the recording solely for their own personal use.
- ecommerce.legal may record the audio or image of the Consultation only where it has obtained separate written consent from the User or their legal guardian.
§7. Digital content – documents
- All Digital Content available on the Website is protected by copyright, including economic copyright vested in ecommerce.legal.
- ecommerce.legal declares that, depending on the Digital Content available on the Website, it has the right to grant a licence or sublicence for the use of the Digital Content, on terms consistent with the Act on Copyright and Related Rights.
- ecommerce.legal informs the User on the Website, in the description of the Digital Content, about the technical requirements necessary to integrate the Digital Content with the Consumer's digital environment, including the functionality, compatibility and interoperability of the Digital Content.
- The contract for the supply of Digital Content is concluded for a fixed term and terminates upon expiry of the period for which it was concluded. The term referred to in the preceding sentence is each time indicated by ecommerce.legal on the Website in the description of the Digital Content.
- ecommerce.legal undertakes to continuously provide the Consumer with Updates of the Digital Content throughout the term of the contract for the supply of digital content.
- The User agrees to cooperate with ecommerce.legal in connection with an Update, provided that it is carried out to a reasonable extent and using the least burdensome technical measures.
- ecommerce.legal may make Changes to the Digital Content supplied on a continuous basis for important reasons, including where it is necessary to adapt the continuously supplied digital Service:
- to a new technical environment, or
- to an increase in the number of Users or for other significant operational reasons.
- Information about a Change is communicated to the Consumer at least 14 days before its implementation, together with a description of the Changes, to the e-mail address which the Consumer indicated when placing the Order.
- In the case of Changes which materially and adversely affect access to or use of the Digital Content supplied on a continuous basis, the Consumer may terminate the Contract without notice within 30 days of the day the Consumer is informed of the Changes or of the Changes being made.
- The detailed terms of the licence granted for digital content are set out in §12 of these Terms.
§8. Non-conformity of service with contract; complaints
- The basis and scope of ecommerce.legal's liability towards the User, where the Service is not in conformity with the Contract, are set out in generally applicable provisions of law, in particular the Consumer Rights Act.
- ecommerce.legal hereby informs of the liability provided for by law on the part of the entrepreneur for the conformity of performance with the contract.
- Complaints arising from a breach of the User's rights guaranteed by law or under these Terms should be addressed to: ecommerce.legal spółka z ograniczoną odpowiedzialnością, ul. Dąbrowskiego 77A, 60-529 Poznań, or to the e-mail address biuro@ecommercelegal.pl, or by telephone at +48 530 091 988.
- ecommerce.legal undertakes to examine each complaint within 14 days from the date of its receipt.
- In the event of deficiencies in the complaint, ecommerce.legal shall call on the User to supplement it to the necessary extent without undue delay, but no later than within 7 days from the date of receipt of the request by the User.
- The Service is in conformity with the contract where in particular its description, type, quantity, quality, completeness and functionality, compatibility, interoperability and availability of updates, and its fitness for the particular purpose for which it is needed by the consumer, of which the consumer informed ecommerce.legal no later than at the time of conclusion of the contract and which ecommerce.legal accepted, are in conformity with the contract.
- If the Service is not in conformity with the contract, the Consumer may demand that it be brought into conformity with the Contract.
- If bringing the Service into conformity with the Contract is impossible or would involve excessive costs for ecommerce.legal, it may refuse to bring the Service into conformity with the contract.
- ecommerce.legal shall bring the Service into conformity with the contract within a reasonable time from the moment when it was informed by the consumer of the non-conformity with the contract, and without undue inconvenience to the consumer, taking into account the nature of the Service and the purpose for which it is used. The costs of bringing the Service into conformity with the contract shall be borne by ecommerce.legal.
- In the cases specified in the Consumer Rights Act, the Consumer may submit a declaration on a reduction in the price or on withdrawal from the contract. This applies in particular to situations where ecommerce.legal has refused to bring the Service into conformity with the contract or has failed to do so.
- ecommerce.legal shall refund to the Consumer the amounts due as a result of exercising the right to a price reduction without undue delay, no later than within 14 days from the date of receipt of the Consumer's declaration on the price reduction.
- The Consumer may not withdraw from the contract if the Service is supplied against payment and the non-conformity of the Service with the contract is immaterial. It is presumed that the non-conformity of the Service with the contract is material.
- The entrepreneur is liable for non-conformity with the contract of a Service supplied on a one-off basis or in parts, which existed at the time of its delivery and became apparent within two years of that moment. It is presumed that non-conformity of the Service with the contract which became apparent before the expiry of one year from the time of the delivery of the Service existed at the time of its delivery.
- ecommerce.legal is liable for non-conformity of a Service supplied on a continuous basis which occurred or became apparent within the period during which it was to be supplied under the contract. It is presumed that the non-conformity of the Service with the contract occurred during that period if it became apparent during that period.
- The rights arising from non-conformity of the service with the contract are available to the Consumer and to the Entrepreneur with Consumer Rights.
- ecommerce.legal is not liable for the content of generated documents or their legal effectiveness where the User:
- entered untrue, incomplete or erroneous data into the Generator;
- made independent modifications to the generated document after downloading it;
- used the document contrary to the instructions or intended purpose described on the Website.
- ecommerce.legal's liability for lost profits in relation to the User is entirely excluded.
§9. Right of withdrawal from the contract
- You have the right to withdraw from the Contract without giving any reason within 14 days from the date of conclusion of the contract for the performance of the Service, subject to sec. 6 below.
- In order to exercise the right of withdrawal, you must inform us (ecommerce.legal spółka z ograniczoną odpowiedzialnością with its registered office in Poznań (60-529) at ul. Dąbrowskiego 77A, entered in the register of entrepreneurs of the National Court Register by the District Court Poznań – Nowe Miasto i Wilda in Poznań, 8th Commercial Division of the National Court Register, under number 0001071438, NIP 7812061024, REGON 527034850, share capital PLN 10,000.00, telephone number +48 530 091 988, e-mail address biuro@ecommercelegal.pl) of your decision to withdraw from this contract by means of an unambiguous statement.
- To meet the withdrawal deadline, it is sufficient for you to send the information concerning the exercise of your right of withdrawal before the withdrawal period has expired.
- In the event of withdrawal from the Contract, we shall reimburse you for all payments received from you, including the costs of delivery of goods (with the exception of additional costs resulting from your choice of a delivery method other than the cheapest standard delivery method offered by us), without undue delay, and in any case no later than 14 days from the day on which we were informed of your decision to exercise the right of withdrawal from this contract.
- We shall make the reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any case, you will not incur any fees in connection with the reimbursement.
- In accordance with art. 38 sec. 1 points 1) and 13) of the Consumer Rights Act, the right of withdrawal from the contract does not apply to:
- a contract for the provision of services for which the consumer is obliged to pay a price, if the entrepreneur has fully performed the service with the express and prior consent of the consumer, who has been informed before the performance began that after the performance by the entrepreneur the consumer will lose the right of withdrawal from the contract, and has acknowledged that;
- a contract for the supply of digital content not delivered on a tangible medium, for which the consumer is obliged to pay a price, if the entrepreneur began performance with the express and prior consent of the consumer, who has been informed before the performance began that after the performance by the entrepreneur the consumer will lose the right of withdrawal from the contract, and has acknowledged that, and the entrepreneur has provided the consumer with the confirmation of conclusion of the contract referred to in art. 21 sec. 1 of the Consumer Rights Act;
- and in the other cases specified in art. 38 sec. 1 of the Consumer Rights Act.
- The right of withdrawal from a distance contract is not available to entities other than a Consumer or an Entrepreneur with Consumer Rights.
§10. Electronic services
- ecommerce.legal takes steps to ensure the fully correct operation of the Website, to the extent arising from current technical knowledge, and undertakes to remedy within a reasonable time any irregularities reported by Users using ecommerce.legal's contact details.
- The free services provided electronically by ecommerce.legal are:
- browsing information posted on the Website;
- the option to set up a Customer Panel on the Website;
- the option to conclude a contract with ecommerce.legal by electronic means;
- the option to use the Document Generator;
- the option to use the contact form for Consultations.
- The contract for the provision of the Service consisting of browsing information posted on the Website, where content and information relating to the activity of ecommerce.legal and the nature of the Website are presented, is concluded for a fixed term and terminates when the User closes the Website.
- The account is set up by completing the registration form. Upon effective registration on the Website, a free contract for the provision of services by electronic means is concluded for an indefinite term.
- When completing the fields of the registration form, the User is required to provide the data marked as mandatory, including in particular their e-mail address.
- By registering in the Customer Panel, the User declares that the data provided in the registration form are true and do not infringe the rights of third parties.
- The User is obliged to enter data on the Website that is consistent with the facts and to promptly inform of any changes regarding the data provided to ecommerce.legal.
- Actions aimed at setting up the Customer Panel, as well as other activities performed as part of the Customer Panel service, may be performed only by persons duly authorised to act on behalf of a User who is an Entrepreneur.
- The User may not have more than one Customer Panel assigned to a single e-mail address. The User may not use the Customer Panels of other Users or make the possibility of using the Customer Panel available to other persons, including disclosing the password to the Customer Panel.
- Browsing certain content presented on the Website and using certain functionalities available on it may require the User to set up a Customer Panel and log in to it.
- The User may at any time delete their account in the Customer Panel or send a deletion request to the Website's e-mail address.
- The Customer Panel stores information regarding the User's data and active and past Subscription Services. If the account is deleted, ecommerce.legal will retain information about placed Orders until the limitation period for potential claims arising from a specific legal relationship has expired or throughout the operation of the Website — unless the User objects to the retention of this information and ecommerce.legal does not have an overriding legitimate interest in retaining it.
- The User has the option to send messages to ecommerce.legal via the contact form for Consultations. The contract for the provision of the Service consisting of making available an interactive form enabling Users to contact ecommerce.legal is concluded for a fixed term and terminates upon the User sending the message.
- The User has the option to use the Generator in order to create personalised legal documents based on the data entered. The contract for the provision of the Service consisting of making the Generator functionality available is concluded for a fixed term and terminates upon the User generating the documents or leaving the Generator form without completing the generation process.
- In the event of a wish to file a complaint, the User should provide their first name and surname, correspondence address, and the type and date of occurrence of the irregularity related to the operation of the Website.
- ecommerce.legal undertakes to examine each complaint regarding the operation of the Website within 14 days. The User is requested to send the complaint to the e-mail address: biuro@ecommercelegal.pl.
- The Consumer may withdraw from the contract for the supply of digital content referred to in this paragraph within 14 days of its conclusion, without giving any reason, by providing such information to ecommerce.legal. Irrespective of this, the User may at any time submit a declaration of cancellation of the services provided.
§11. Rights and obligations of Users
- Each User undertakes:
- to use true data, i.e. consistent with the actual and legal state of affairs, including personal data;
- to use data, including personal data, in respect of which they have full right of use;
- to use the Website and Services in accordance with the law, the provisions of the Terms, the intended purpose of the Services and the principles of community life;
- to use the Website and Services in a manner which does not cause the Website or Services to malfunction, be hindered or disrupted;
- not to undertake any actions that are contrary to generally applicable law or good practices, or that infringe the property or personal rights of third parties or the legitimate interests of ecommerce.legal;
- not to interfere with the source code of the Website;
- not to use the knowledge or skills acquired to undertake any actions contrary to the law;
- not to generate excessive or disproportionate load on the connections and other infrastructure on the basis of which the Website and Services are made available;
- not to share the Customer Panel and any content contained in the Services with any third parties, unless the nature of the purchased Service expressly permits this;
- not to copy or share the content contained in the purchased Services;
- not to use devices, software or methods that may disrupt the operation of the Website;
- not to provide content of an unlawful nature.
- In the event of withdrawal from the contract, ecommerce.legal shall, at the Consumer's request, make available to the Consumer content other than personal data which was supplied or created by the Consumer during the use of the digital Service supplied by ecommerce.legal, with the exception of:
- content useful solely in connection with the Service which was the subject of the contract;
- content which relates solely to the Consumer's activity during the use of the Service;
- content which has been combined by ecommerce.legal with other data and cannot be separated from them or can only be separated with disproportionate effort.
- The Consumer has the right to recover Digital Content from ecommerce.legal free of charge, without any hindrance on the part of ecommerce.legal, within 14 days, in CSV or another commonly used machine-readable format.
- In the event of withdrawal from the Contract for the supply of Digital Content, the Consumer shall refrain from using such Digital Content or making it available to third parties.
- The User is required to hold all rights to the content posted on the Website, including the data entered when placing an Order or anywhere else on the Website.
- It is prohibited for the User to present, when placing an Order or anywhere else on the Website, any information containing content prohibited by law, violating principles of good practice or constituting acts of unfair competition. Content added or sent and presented by Users may in particular not:
- violate human dignity;
- contain content discriminating on the grounds of race, sex or nationality;
- contain pornographic, offensive or vulgar content;
- offend religious or political beliefs;
- encourage infringement or breach of the law;
- contain content infringing the law, in particular copyright or other intellectual property rights, or encouraging infringement of copyright, including by making content available that may serve to infringe copyright or other intellectual property rights;
- contain links, references or any other references to other websites or applications.
§12. Intellectual property rights
12.1. Licence for the use of documents covered by the subscription
- ecommerce.legal declares that it holds all economic copyright to the document templates and documents generated via the Website (hereinafter: "Documents"). Pursuant to these Terms, ecommerce.legal grants the User a non-exclusive and non-transferable licence to use the Documents on the terms set out below.
- The licence is granted for a fixed term of 12 (twelve) months (hereinafter: "Licence Period"), counted from the date of payment of the Order. The licence is automatically extended for subsequent 12‑month periods, provided that the subscription fee is paid on time in accordance with the current fee indicated on the Website.
- The User is entitled to use the Documents solely within the scope of the following fields of exploitation:
- recording and reproducing the Document in digital form for the purpose of publishing it within a single online store domain indicated in the Generator;
- making the Document available to the public in such a way that customers of the User's online store have access to it at a place and time of their choosing;
- loading the Documents into the User's computer memory.
- Without the prior consent of ecommerce.legal, expressed in documentary form under pain of nullity, the User may not:
- use the Documents to operate more than one online store (domain);
- grant sublicences to third parties, resell the Documents or make them available in a manner enabling their use by other business entities;
- remove authorship markings or legal notices contained in the Documents.
- Upon expiry of the period of provision of the Subscription Service and failure to pay the fee for the next subscription period, the licence expires with immediate effect without the need for any additional declarations. In such a case, the User loses the right to further use the Documents and is obliged to promptly remove them from their website.
- In the event of a breach by the User of the provisions of this paragraph, in particular through the use of the Documents after expiry of the licence or without payment for the Subscription Service, the User undertakes to pay ecommerce.legal a contractual penalty of PLN 5,000.00 (in words: five thousand zlotys) for each Document used after the end of the Subscription Service period.
- ecommerce.legal is entitled to terminate the licence with immediate effect in the event of a material breach by the User of the terms of this paragraph, following a prior unsuccessful call to cease the breach and setting a 7-day deadline for ceasing the breach.
12.2. Intellectual property concerning other digital content (not being Documents)
- As part of concluding certain Contracts, ecommerce.legal grants the User a free and non-exclusive licence to use in particular Videos made available in the Customer Panel and educational materials made available as part of Webinars (hereinafter referred to as the "Subject of the Licence") on fields of exploitation for the duration of the Contract (hereinafter referred to as the "Licence"). ecommerce.legal grants the User the Licence to use the Subject of the Licence on the following field of exploitation:
- use, including in particular playback, in any form solely for the User's own private needs.
- In the case of educational materials made available as part of Webinars, the User may also use the Subject of the Licence on the following fields of exploitation:
- use in any form solely for the User's own needs.
- Having regard to sec. 1 above, the User is prohibited in particular from: recording, copying, duplicating, distributing in whole or in part, publishing, placing on the market, using for marketing and promotional purposes the Subject of the Licence, and any other activities exceeding the fields of exploitation set out in sec. 1 above.
- ecommerce.legal declares that it holds the rights to all Subjects of the Licence, in particular economic copyright, related rights and industrial property rights.
- The licensee is not entitled to:
- load the Subject into the User's computer memory;
- use the Subject in a manner other than expressly specified in sec. 1 and 2 above (depending on the type of Licence);
- use the Subject of the Licence in a pornographic, slanderous or other context which may be considered defamatory, obscene or unlawful;
- use the Subject of the Licence (in whole or in part) as a trademark, logo or other identification;
- resell, redistribute, make available or transfer the Subject of the Licence, except in cases expressly specified in these Terms.
12.3. Intellectual property on the Website
- All software and content included on the Website, including layout, arrangement, databases, logos, graphics, photographs, audio and video files, belong to ecommerce.legal or to persons cooperating with ecommerce.legal (where so indicated), with ecommerce.legal declaring, in the case of content to which the rights belong to persons cooperating with ecommerce.legal, that it holds the relevant rights, including licences, consents or other legal titles entitling it to use, make available or present them within the Website and the Services offered.
- The above markings and materials may not be used without the prior consent of ecommerce.legal, in particular they may not be used in connection with products or services of third parties in a manner that could mislead Users or other persons as to the existence of any organisational, economic or legal connection with ecommerce.legal, or in any other way infringe or harm the rights or legitimate interests of ecommerce.legal.
- Neither the User nor any third party may remove, cover, render illegible or alter the trademarks, copyright notices or other property rights markings contained on the Website.
- Descriptions of Services, including logos, graphics, photographs, audio and video files, the layout and composition of these elements (the so-called layout), trademarks and other information, belong to ecommerce.legal. The indicated elements may be the subject of economic copyright, industrial property rights, including trademark registration rights and database rights, and as such they enjoy statutory legal protection. Downloading or using in any scope the materials available on the Website each time requires the consent of the rightsholder and must not infringe the provisions of the Terms and generally applicable law, nor may it infringe the rights of ecommerce.legal or of third parties.
- Any infringement by the User of the intellectual property rights of ecommerce.legal or of third parties shall result in immediate and permanent blocking of access to the Service and/or deletion of the Account. In the event of the above circumstances, ecommerce.legal has the right to claim the appropriate compensation.
§13. Provisions for entrepreneurs
- The provisions of this paragraph apply to Users who are Entrepreneurs.
- ecommerce.legal may terminate the contract for the provision of services by electronic means in respect of maintaining the Customer Panel with immediate effect and without giving reasons. This does not give rise to any claims against ecommerce.legal on this account.
- ecommerce.legal has the right to withdraw from the contract without giving reasons within 14 days of its conclusion, by sending a relevant declaration to the Entrepreneur. This does not give rise to any claims against ecommerce.legal on this account.
- ecommerce.legal has the right to limit the available payment methods and to require the Entrepreneur to make a full or partial advance payment.
- The total liability of ecommerce.legal to a User who is an entrepreneur for non-performance or improper performance of the contract for the provision of services is limited to the amount of remuneration paid for the given service. ecommerce.legal shall not be liable for lost profits in relation to the Entrepreneur.
- The court competent to resolve disputes between ecommerce.legal and an entrepreneur is the court competent for the registered office of ecommerce.legal.
- The provisions of this paragraph are not intended to limit the rights of an entrepreneur with consumer rights which are granted to such person under generally applicable provisions.
§14. Personal data protection
- The controller of the personal data of Users collected via the Website is ecommerce.legal.
- The rules for processing personal data, their recipients and the User's rights are set out in the Privacy Policy of the Website.
§15. Final provisions
- All rights to the Website and the Services offered, including intellectual property rights and economic and moral copyright, belong to ecommerce.legal. Without the consent of ecommerce.legal it is not possible, inter alia, to copy or modify the content offered by ecommerce.legal.
- ecommerce.legal reserves the right to amend the Terms for important reasons, such as for example changes in its offer or changes in legal regulations. The new terms shall enter into force on the date of publication. Registered Users shall be informed of changes to the Terms by e-mail with at least 14‑days' notice.
- ecommerce.legal reserves the right to change the prices of services and promotions, without prejudice to contracts concluded before such changes.
- In matters not regulated by these Terms, generally applicable provisions of Polish law shall apply.
- None of the provisions of the Terms is intended to limit the rights of a consumer or of an entrepreneur with consumer rights guaranteed by the Consumer Rights Act and other applicable legal acts.
- In the event of a dispute arising from a concluded contract for the provision of digital services, the parties shall endeavour to resolve the matter amicably.
- The Consumer has the option to use out-of-court means of handling complaints and pursuing claims. The Consumer has the option, for example, of:
- referring the dispute to a permanent amicable consumer court for its resolution;
- applying to the voivodeship inspector of the Trade Inspection with a request to initiate mediation proceedings for the amicable resolution of the dispute;
- using the assistance of a district (municipal) consumer rights ombudsman or of a social organisation whose statutory tasks include consumer protection.
